Terms of Service

These Terms govern your use of vem (the "Service"), provided by Prodivant (sole proprietorship, representative: Genki Shirahama) ("we", "us"). By creating an account or using the Service, you agree to these Terms.

1. The Service

The Service generates short videos, images and captions for social media accounts you register, and publishes them to the social networks you connect (currently Instagram). You choose whether each post is published automatically or after your review.

2. Accounts and connected networks

  • You must provide accurate information and keep your password secure. You are responsible for activity under your account.
  • You may only connect social media accounts that you own or are authorized to manage. You can disconnect them at any time.
  • Changes to the policies or APIs of connected networks (such as Meta Platforms) may limit or stop parts of the Service.

3. Fees and payment

  • Fees are shown on the pricing page and at checkout. Payments are processed by Stripe.
  • Subscriptions renew automatically each billing period. You can cancel at any time; the Service remains available until the end of the current period. We do not provide prorated refunds except where required by law.
  • If payment fails, we may suspend generation and publishing.

4. Content and rights

  • You keep the rights to the material you provide (text, photos, logos, audio). You grant us the rights needed to process, store and transmit it to provide the Service.
  • You may use the generated videos, images and captions freely, subject to the licenses of any third-party material (such as music) noted with the content.
  • You must not provide material that infringes the rights of others (copyright, portrait, trademark and similar rights).

5. Responsibility for published content

  • You are ultimately responsible for what is published on your accounts, including factual statements. We check generated content, but we do not guarantee that it is free of errors.
  • You are responsible for complying with the laws and advertising rules that apply to your field.

6. Prohibited use

  • Generating or publishing content that is unlawful, harmful, deceptive, or violates the rules of the connected networks.
  • Impersonating others or connecting accounts without authorization.
  • Attempting to bypass limits, overload our systems, reverse engineer the Service, or manipulate the AI into acting outside its intended purpose.

7. Disclaimers and liability

  • The Service does not guarantee reach, views, followers, sales or any other result.
  • We are not liable for damage caused by outages or changes at connected networks, AI model providers or telecommunications carriers.
  • Except in cases of intent or gross negligence, our total liability is limited to the fees you paid in the one month before the event giving rise to the claim.

8. Changes, suspension and termination

  • We may change or discontinue the Service with prior notice, and suspend it temporarily without notice for urgent maintenance.
  • We may suspend accounts that violate these Terms. You may delete your account at any time; your data is then deleted as described in the Privacy Policy.

9. Changes to these Terms

We will announce changes on this page. Continued use after a change means you accept the updated Terms.

10. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Osaka District Court has exclusive jurisdiction in the first instance, without prejudice to mandatory consumer protection rights in your country of residence.
