Terms of Service
These Terms govern your use of vem (the "Service"), provided by Prodivant (sole proprietorship, representative: Genki Shirahama) ("we", "us"). By creating an account or using the Service, you agree to these Terms and acknowledge our Privacy Policy.
1. The Service
- The Service uses AI models to generate short videos, images, narration and captions for social media accounts you register, and publishes them to the social networks you connect (currently Instagram and YouTube). You choose whether each post is published automatically or after your review.
- In the AI video format, the video footage itself is generated entirely by AI.
2. Eligibility, accounts and connected networks
- You must be at least 18 years old and able to enter into a binding contract to use the Service. If you use the Service for a business, you confirm that you are authorized to accept these Terms on its behalf.
- You must provide accurate information and keep your password secure. You are responsible for activity under your account.
- You may only connect social media accounts that you own or are authorized to manage. You can disconnect them at any time.
- Changes to the policies or APIs of connected networks (such as Meta Platforms and Google) may limit or stop parts of the Service.
- The Service uses YouTube API Services. By connecting a YouTube channel, you agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms).
3. Fees, credits and payment
- Fees are shown on the pricing page and at checkout. Payments are processed by Stripe.
- Each plan includes a number of credits per billing period. Each post uses credits as shown on the pricing page; longer posts, manga and AI videos use more credits (AI video by length, as shown on the pricing page). A job that fails or is canceled does not use credits.
- Subscriptions renew automatically each billing period. You can cancel at any time; the Service remains available until the end of the current period. We do not provide prorated refunds except where required by law.
- If payment fails, we may suspend generation and publishing.
4. Content and rights
- You keep the rights to the material you provide (text, photos, logos, audio). You grant us the rights needed to process, store and transmit it to provide the Service, including sending it to the providers listed in the Privacy Policy.
- You may use the generated videos, images and captions freely, subject to the licenses of any third-party material (such as music or stock footage) noted with the content.
- AI-generated content is not unique to you: similar content may be generated for other users, and it may resemble existing works. We do not guarantee that generated content can be protected by copyright.
- You must not provide material that infringes the rights of others (copyright, portrait, trademark and similar rights).
5. Responsibility for published content
- You are ultimately responsible for what is published on your accounts, including factual statements. We check generated content, but we do not guarantee that it is free of errors. Review content before you publish it or turn on automatic publishing.
- AI-generated videos and images can look realistic. You must not present them as real recordings in a misleading way, and you must apply the AI or synthetic-content labels that the connected networks or the laws that apply to you require. When we upload an AI video to YouTube, we mark it as altered or synthetic content.
- You are responsible for complying with the laws and advertising rules that apply to your field.
6. Prohibited use
- Generating or publishing content that is unlawful, harmful, deceptive, or violates the rules of the connected networks or of our AI providers.
- Creating sexual content, content that depicts minors, or deceptive depictions of real people (including their names or likeness) without their permission.
- Impersonating others or connecting accounts without authorization.
- Attempting to bypass limits, overload our systems, reverse engineer the Service, or manipulate the AI into acting outside its intended purpose.
7. Disclaimers and liability
- The Service does not guarantee reach, views, followers, sales or any other result.
- We are not liable for damage caused by outages or changes at connected networks, AI model providers or telecommunications carriers.
- Except in cases of intent or gross negligence, our total liability is limited to the fees you paid in the one month before the event giving rise to the claim.
8. Changes, suspension, termination and account deletion
- We may change or discontinue the Service with prior notice, and suspend it temporarily without notice for urgent maintenance.
- We may suspend accounts that violate these Terms.
- You can delete your account at any time from Account & data in the Service, or by asking us at [email protected]. Your data is then deleted as described in the Privacy Policy. Fees already paid are not refunded except where required by law.
9. Changes to these Terms
- This is version 2026-10-08. We record which version you agreed to and when.
- We will announce changes on this page. For material changes, we will tell you in advance and ask you to agree again when you next use the Service; if you do not agree, you can stop using the Service and delete your account.
10. Governing law and jurisdiction
These Terms are governed by the laws of Japan. The Osaka District Court has exclusive jurisdiction in the first instance, without prejudice to mandatory consumer protection rights in your country of residence.
11. Language
These Terms are written in English. Translations (currently Thai) are provided for convenience only. If a translation differs from the English text, the English text prevails.
